What are Bylaws and why would this template benefit me? 

Nonprofit bylaws are the main governing document for your nonprofit corporation. They supplement the rules already defined by the state corporations code and will guide how the nonprofit is run. When you pursue federal tax exemption, the IRS will ask you to either attest to the fact that they have been adopted or request that you attach a copy to your application. This document guides the actions and decision-making of the board of directors while helping to prevent and/or resolve conflicts or disagreement.

Why would the minutes template benefit me? 

Minutes are defined as the written record of a meeting which typically describes the events of the meeting, as well as a list of attendees, and a description of the issues being discussed by those present. Organizations should either find or create a formatted template to be used for all meetings. 

Any time the board meets, meeting minutes should be taken.Without meeting minutes, an organization does not have proof about the decisions made in the board room. Lack of meeting minutes would allow the IRS (and the general public) to question the organization’s compliance in following the organization’s bylaws, as well as board participation among following nonprofit law and compliance under IRC Section 501.
